Confidential Disclosure Agreement

In order to protect certain Confidential Information which may be disclosed between them during the conduct of the Research Affiliates Program, The Jackson Laboratory of 600 Main Street, Bar Harbor, Maine, 04609, and (Company Name and Address), agree that:

  1. Any information disclosed under this Agreement intended to be confidential shall be marked clearly in writing "Confidential Information".
  2. This Agreement controls only Confidential Information which is disclosed during membership in the Research Affiliates Program and for a period of three (3) years after disclosure.
  3. A party receiving Confidential Information under this Agreement (Recipient) shall use the same degree of care, but no less than a reasonable degree of care, to prevent the unauthorized use, dissemination or publication of the Confidential Information as the Recipient uses to protect its own confidential information of a like nature.
  4. This agreement imposes no obligation upon a Recipient with respect to Confidential Information which (a) is already in the Recipient's possession; (b) is or becomes a matter of public knowledge through no fault of the Recipient; (c) is rightfully received by the Recipient from a third party; (d) is independently developed by the Recipient; (e) is required to be disclosed by law.
