As a service to the biomedical research community, The Jackson Laboratory will provide MICE to Recipient, as a non-profit institution, solely for research purposes. The original source of the MICE is Case Western Reserve University (INSTITUTION). By accepting, retaining or using the MICE, Recipient agrees to all of the terms of this Agreement, and that, absent a separate license from INSTITUTION, the MICE and their descendants, if any, will not be used for commercial purposes or bred for sale or transferred to any third parties outside the recipient's institution, and will be used solely for research purposes.

THESE MICE ARE EXPERIMENTAL IN NATURE, ARE BEING PROVIDED ON AN "AS IS" BASIS, AND THE JACKSON LABORATORY AND INSTITUTION MAKE NO REPRESENTATION AND EXTEND NO WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR ANY WARRANTY OF NON-INFRINGEMENT OF ANY PATENT, TRADEMARK, OR OTHER INTELLECTUAL PROPERTY RIGHTS. THE JACKSON LABORATORY AND INSTITUTION SHALL NOT BE LIABLE FOR INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES. IN NO EVENT SHALL THE JACKSON LABORATORY OR INSTITUTION BE LIABLE FOR ANY USE OF THE MICE, AND RECIPIENT HEREBY AGREES TO DEFEND, INDEMNIFY AND HOLD THE JACKSON LABORATORY AND INSTITUTION HARMLESS FROM ANY LOSS, CLAIM, DAMAGE, OR LIABILITY (INCLUDING BUT NOT LIMITED TO ATTORNEY'S FEES AND COSTS AND EXPENSES OF DEFENSE) WHICH MAY ARISE FROM RECIPIENT'S USE, STORAGE AND DISPOSAL OF THE MICE.
