Use of MICE by for-profit entities or for Commercial Purposes as defined herein requires a license from The University of Chicago prior to shipping.

As a service to the biomedical research community, The Jackson Laboratory ("JACKSON") provides these mice to Recipient solely for research purposes. Recipient agrees that the MICE and their descendants, if any, will not be bred for sale nor distributed to any third parties outside the recipient's institution, and will be used solely for research purposes.  Recipient understands that supply of the MICE does not include a license under any relevant patent rights.  The original source of the MICE is the INSTITUTION.  The MICE were created in a Howard Hughes Medical Institute (HHMI) laboratory at INSTITUTION.  Use of these MICE by for-profit entities or by any user for Commercial Purposes also requires a license from INSTITUTION that be obtained by contacting the office listed above. "Commercial Purposes" shall mean the use of the MICE by any organization, including the recipient, to produce or manufacture products for sale, or to conduct activities that result in the sale, lease, license or transfer of the MICE to a for-profit organization or end user.  However, research sponsored by commercial industry at not-for-profit research or educational institutions shall not be considered a use of the MICE for Commercial Purposes unless said research results in (i) the production or manufacture of products for sale, or (ii) the sale, lease, license or transfer of the MICE to a for-profit organization or end user.

THESE MICE ARE EXPERIMENTAL IN NATURE AND JACKSON, HHMI AND INSTITUTION MAKE NO REPRESENTATION AND EXTEND NO WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR ANY WARRANTY OF NON-INFRINGEMENT OF ANY PATENT, TRADEMARK, OR OTHER INTELLECTUAL PROPERTY RIGHTS.

In no event shall JACKSON, HHMI or INSTITUTION be liable to recipient or any third party for any use of the MICE, and recipient hereby agrees to defend, indemnify and hold JACKSON, HHMI and INSTITUTION harmless from any loss, claim, damage, or liability which may arise from Recipient's use, storage and disposal of the MICE.
