NOTICE TO RECIPIENT OF: "ORIGINAL MATERIAL"

Please consult the UBMTA for definitions of ORIGINAL MATERIAL, MATERIAL, MODIFICATIONS, RECIPIENT, and COMMERCIAL PURPOSES regarding this transfer of the ORIGINAL MATERIAL.

Acceptance of the conditions of this NOTICE TO RECIPIENT is a condition of supply of the ORIGINAL MATERIAL.

The ORIGINAL MATERIAL contains the Cre-ERT(2) construct, designed by the Institut de Génétique et de Biologie Moléculaire et Cellulaire GIE-CERBM ("IGBMC"), Parc d'Innovation, BP 10142, 67404 Illkirch Cedex, France. The use of transgenic mice containing Cre-ERT(2) is covered by US patent 7112715 and European patent IB01/02246, assigned to IGBMC. Distribution of ORIGINAL MATERIAL is reported to IGBMC.

Without written permission from IGBMC, RECIPIENT cannot use, directly or indirectly, the MATERIAL or any derived transgenic mice containing Cre-ERT(2) for COMMERCIAL PURPOSES.

Subject to any additional restriction on transfer that may be required, RECIPIENT may transfer MATERIAL, MODIFICATIONS, and/or derived transgenic mice containing Cre-ERT(2) to other scientists at non-profit institutions ("Collaborator") for non-industrially sponsored research, non-commercial, internal, and academic research if, and only if, Collaborator has obtained a Cre-ERT(2) MTA from IGBMC (please contact chambon@igbmc.fr to obtain a copy of the MTA). Notwithstanding the above, RECIPIENT may deposit derived transgenic mice containing Cre-ERT(2) derived from ORIGINAL MATERIAL to The Jackson Laboratory solely for the purpose of distributing to other academic and non-profit institutions. Distribution of the MATERIAL, MODIFICATIONS, and/or derived transgenic mice containing Cre- ERT(2) to any party for COMMERCIAL PURPOSES is strictly prohibited. In the event of any conflict between this NOTICE TO RECIPIENT and the UBMTA the NOTICE TO RECIPIENT shall take precedence.

THE ORIGINAL MATERIAL IS EXPERIMENTAL IN NATURE JACKSON AND IGBMC MAKE NO REPRESENTATION & EXTEND NO WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR ANY WARRANTY OF NON-INFRINGEMENT OF ANY PATENT, TRADEMARK, OR OTHER INTELLECTUAL PROPERTY RIGHTS.

In no event shall JACKSON or IGBMC be liable for any use of the ORIGINAL MATERIAL, and Recipient hereby agrees to the extent permitted by applicable law, to defend, indemnify and hold JACKSON and IGBMC harmless from any loss, claim, damage, or liability which may arise from Recipient's use, storage and disposal of the ORIGINAL MATERIAL.
