"Non-Commercial Biomedical Research" shall mean research
conducted on Recipient’s premises, the results of which (i) may be published
without restriction (subject to a maximum delay of up to 120 days to allow for
patent filings) by Recipient, and (ii) are not subject to any ownership
interest (or option right to acquire an ownership interest) by any for-profit
entity. For the avoidance of doubt, Recipients shall not conduct research with
for-profit entities using the MICE or data generated using the MICE.
1. Recipient will use the MICE solely
for its internal Non-Commercial Biomedical Research purposes, provided however, that such research
purposes specifically excludes without limitation, use of the MICE for any commercial purpose or for the benefit of any
for-profit institution, or to generate scientific data or information that is
conveyed to a third party for consideration;
2. the MICE
will be used with caution and prudence in any experimental work and that the
MICE will not be used on any human subjects;
3. Recipient
Institution will bear all risk to Recipient Investigator and to others
resulting from Recipient’s use of the MICE;
4. To the
extent permitted by applicable law Recipient Institution will defend, indemnify
and hold harmless The Regents and JACKSON for all claims, losses and expenses
resulting from your use of the MICE;
5. Recipient
Investigator and Institution will not allow the MICE to be transferred to any
other party without the express written consent of UCI; and
6.
The University of California will be acknowledged in any publications
resulting from your work with the MICE and the UCI Investigator will be given
credit in such publications, as scientifically appropriate.
Recipient Investigator and Institution acknowledge and agree that the
subject MICE are experimental in nature and, when delivered, is without
warranty of merchantability or fitness for any particular purpose or any other
warranty of any kind, including that Recipient’s use of the MICE will not
infringe any patent or other right of any independent third party.
By signing this agreement, the Recipient Investigator and Institution agree
to the above conditions and clearly understand that no other right or license
to the MICE is granted or implied as a result of the transfer of the MICE. Recipient agrees that any person utilizing the MICE within
Recipient Institution will be advised of and shall be subject to the conditions
of this Agreement.
