As a service to the biomedical research community, The Jackson Laboratory (“TJL�) provides these mice to Recipient solely for research purposes.  Recipient agrees that the MICE and their descendants, if any, will not be bred for sale nor distributed to any third parties outside the recipient's institution, and will be used solely for research purposes.  Recipient understands that supply of the MICE does not include a license under any relevant patent rights. The original source of the MICE is the INSTITUTION.  The MICE were created in a Howard Hughes Medical Institute (HHMI) laboratory at INSTITUTION.  Use of these MICE by for-profit entities or for Commercial Purposes also requires a license from INSTITUTION that can be obtained by contacting the office listed above.  Commercial Purposes shall include uses of the MICE by any organization, including recipient, to perform contract research to produce or manufacture products for general sale, or to conduct research activities that result in any sale, lease, license, or transfer of the MICE to a for-profit organization.  However, industrially sponsored academic research shall not be considered a use of the MICE for Commercial Purposes per se unless any of the above conditions to this definition are met.

 

THESE MICE ARE EXPERIMENTAL IN NATURE AND TJL MAKES NO REPRESENTATION AND EXTENDS NO WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR ANY WARRANTY OF NON-INFRINGEMENT OF ANY PATENT, TRADEMARK, OR OTHER INTELLECTUAL PROPERTY RIGHTS. Neither INSTITUTION nor TJL makes any representation that the use of the MATERIAL will not infringe any patent or proprietary rights of third parties.

 

In no event shall TJL, HHMI, or INSTITUTION be liable for any use of the MICE, and recipient hereby agrees to defend, indemnify and hold TJL, HHMI, and INSTITUTION harmless from any loss, claim, damage, or liability which may arise from Recipient's use, storage and disposal of the MICE.
